This Privacy Policy describes how we collect, use, store, disclose, and otherwise process personal information in connection with our website, recruiting activities, communications, candidate sourcing and evaluation, client relationships, and related professional services.This Privacy Policy applies to personal information collected through our website, contact forms, communications with our team, third-party recruiting and networking platforms, referrals, candidate interviews, client interactions, and other channels through which individuals engage with Propel Recruitment.​

Who We ArePropel Recruitment LLC is a recruiting and talent placement firm that provides professional recruiting services to employers and supports candidates in identifying and pursuing employment or consulting opportunities. Our services include sourcing, screening, interviewing, evaluating, and presenting candidates to client organizations, as well as communicating with clients and candidates regarding open roles, qualifications, hiring needs, and potential professional opportunities.For purposes of this Privacy Policy, Propel Recruitment is generally the business responsible for determining how and why personal information is collected and used in connection with its own recruiting and business operations, except where another party’s privacy policy separately applies, such as when you interact directly with a third-party platform.​

 

2. Information We CollectThe personal information we collect depends on how you interact with us. In the course of operating our recruiting and talent placement business, we may collect the following categories of information:​Contact InformationWe may collect personal identifiers and contact details such as your name, email address, phone number, mailing address, LinkedIn profile information, employer name, professional title, and other similar contact information. Through our website contact form, we currently request a user’s name and either a phone number and/or email address, together with any information the individual chooses to provide in an open-ended message or notes field.​  Candidate and Professional Background InformationWhen you engage with us as a candidate, we may collect information relating to your professional background, qualifications, and job search. This may include your resume or CV, employment history, education, credentials, licenses, skills, qualifications, references, interview feedback, compensation expectations or target compensation ranges, role preferences, geographic preferences, work authorization status, and whether you may require immigration sponsorship in the future. We may also maintain internal notes regarding your qualifications, experience, communications with us, and potential fit for particular opportunities.​In addition, through the “Opportunities” page on our website, candidates may be directed to or interact with our third-party recruiting platform provider, Loxo, in order to view openings, upload a resume, submit application materials, or create a candidate profile. In those circumstances, we may receive and access the information submitted through that channel in connection with our recruiting operations.​Client and Hiring Information​When you engage with us as a client or prospective client, we may collect business and professional information such as contact names, email addresses, phone numbers, company information, job descriptions, hiring requirements, compensation parameters, interview feedback, hiring timelines, organizational goals, and other information relevant to providing recruiting services.​Communications and Inquiry Information​We collect information contained in communications with us, including information you provide through website forms, email, phone calls, LinkedIn messages, text messages, referrals, interviews, candidate submissions, or other communications with our team. This may include general recruiting inquiries, interest in particular roles, interview scheduling details, and information voluntarily disclosed during the recruiting process.​Limited Sensitive or Contextual Information Voluntarily Shared

 

​Propel Recruitment does not intentionally collect highly sensitive personal information such as Social Security numbers, bank account information, credit card information, or medical records through its website. However, during recruiting conversations or related communications conducted outside the website, a candidate may voluntarily disclose limited contextual information relating to personal circumstances that affected their employment history or availability, such as leave related to health matters, maternity leave, caregiving responsibilities, or similar personal events. Where relevant to understanding a candidate’s professional timeline or work history, limited internal notes summarizing that information may be recorded within our systems.In addition, financial information we collect from candidates is generally limited to compensation-related information relevant to employment opportunities, such as compensation expectations, target compensation, or prior compensation information if voluntarily disclosed and where permitted by applicable law.​Information Obtained from Third Parties​

 

We may receive personal information from third parties as part of our recruiting and sourcing activities. These sources may include job boards, LinkedIn and LinkedIn Recruiter, Loxo, referrals from clients or professional contacts, other candidates, publicly available professional sources, and other recruiting-related platforms or tools. Information received from such sources may include resumes, employment history, contact information, professional profile information, application materials, and other business-related information relevant to candidate sourcing and recruiting.​

 

Website Usage Information​We may also receive limited website usage and traffic information through our website hosting or related service providers, such as Wix. This information may include high-level analytics and activity data such as site sessions, search or query activity submitted through the site, unique visitor counts, page traffic, page visits, and similar usage statistics. This information is generally aggregated or de-identified at a high level and is used to understand website activity, improve site functionality, and evaluate general engagement with our website. We do not use this analytics information to identify specific individual visitors unless otherwise stated in this Privacy Policy or required for security, legal, or operational purposes.

How We Collect Information​We collect personal information through a number of channels in the ordinary course of our recruiting and business operations.We may collect information directly from you when you complete our website contact form, email or call us, text us, communicate with us through LinkedIn, participate in an interview or screening call, share your resume or other application materials, or otherwise provide information directly to us. We also collect information when candidates apply to positions through third-party platforms such as LinkedIn or other job posting sites, and when clients, referral sources, or professional contacts share information with us in connection with a recruiting need or candidate introduction. In addition, our team may collect and maintain information obtained through conversations, referrals, sourcing activity, and professional networking in connection with the recruiting process.​

 

4. How We Use Information​We use personal information for legitimate business and professional purposes related to recruiting, talent placement, business administration, and relationship management.​These purposes include evaluating candidate qualifications and professional background, understanding a candidate’s career interests and compensation expectations, assessing potential fit with client opportunities, presenting candidates to prospective employers, communicating with candidates about roles and interviews, understanding client hiring needs and role requirements, coordinating the recruiting process, maintaining candidate and client records, building and maintaining a professional network and talent pipeline, responding to inquiries submitted through our website, operating our internal systems, supporting our day-to-day business operations, and complying with applicable legal or contractual obligations. Propel Recruitment does not collect personal information for the purpose of selling data to third parties or for unrelated marketing or advertising activities.​We may also use personal information to protect our business, enforce our rights, prevent misuse of our services, respond to legal requests, and maintain appropriate internal records.​5. Legal Bases for Processing​

 

Where applicable under privacy laws that require a legal basis for processing, Propel Recruitment generally processes personal information on one or more of the following grounds: your consent or direction, the performance of services requested by you or by a client, our legitimate interests in operating a recruiting and staffing business, compliance with legal obligations, and the establishment, exercise, or defense of legal claims.​For example, we may process candidate information because the candidate has chosen to engage with us regarding professional opportunities, because a client has requested recruiting services and we have a legitimate business interest in evaluating and presenting qualified candidates, or because we need to maintain business and compliance records. Where we rely on consent, you may withdraw that consent as permitted by law, although doing so may affect our ability to continue considering you for opportunities or providing services.​6. How We Share Information​We may share personal information as reasonably necessary to operate our recruiting business and provide our services.With Prospective Employer Clients​As part of the recruiting process, we may share candidate information with prospective employer clients when presenting candidates for employment or consulting opportunities. This typically occurs with the candidate’s knowledge and in furtherance of facilitating potential job placement. Information shared may include resumes, professional background information, interview feedback, qualifications, compensation expectations, and other information relevant to the opportunity.​With Candidates​We may share information about client organizations, open roles, interview processes, and hiring requirements with candidates when discussing employment opportunities, coordinating interviews, or evaluating fit for a role.​

 

With Service Providers and Business Support Partners​We use third-party providers to support our business operations, and those providers may store, host, access, or process personal information on our behalf as part of providing their services. Based on the questionnaire, these providers may include Fox Hire, Loxo, LinkedIn Recruiter, Google Workspace, People 2.0, QuickBooks, Stone Soup Consulting, and Sysgen Pro. These providers may have access to information as necessary to perform services related to recruiting operations, sourcing, communication, internal administration, financial management, document storage, and professional support functions.​For Legal, Compliance, and Protective Purposes​We may disclose information if we believe doing so is necessary or appropriate to comply with applicable law, legal process, governmental request, subpoena, court order, contract enforcement, or to protect the rights, safety, property, systems, personnel, clients, candidates, or legal interests of Propel Recruitment or others.​In Connection with Business Transactions​If Propel Recruitment is involved in a merger, acquisition, financing, reorganization, sale of assets, or similar business transaction, personal information may be disclosed as part of that transaction subject to appropriate confidentiality and legal protections.

 

Propel Recruitment does not sell personal information to data brokers or unrelated third parties, and does not share personal information for purposes unrelated to recruiting and business operations as described in the questionnaire.​However, mobile phone numbers and SMS consent data are not shared with third parties for marketing or promotional purposes and are handled in accordance with Section 12.​7. Third-Party Platforms and External Sites​Propel Recruitment uses or interacts with third-party platforms in connection with its recruiting operations. These may include applicant tracking and CRM platforms such as Loxo, professional networking and sourcing platforms such as LinkedIn and LinkedIn Recruiter, job boards, video conferencing tools, communication platforms, and internal business systems.

 

Job listings displayed on Propel Recruitment’s website may direct users to third-party platforms, including Loxo-hosted listings or application pages. When you interact with a third-party platform, that platform may collect and process personal information under its own terms and privacy policy. Propel Recruitment is not responsible for the privacy, security, or data-handling practices of third-party platforms that are not under its control, and users should review the applicable privacy policies and terms of those services.​8. Data Storage and Security​Propel Recruitment stores information in systems used to support its recruiting and business operations. Based on the questionnaire, the majority of candidate and client information is stored within Propel Recruitment’s applicant tracking system, Loxo. Additional professional profile information may be maintained within LinkedIn Recruiter, and limited internal information may also be maintained within Google Workspace, such as candidate resumes, internal spreadsheets or documents used to track candidate pipelines, compensation ranges, or recruiting activity.​We use administrative, technical, and organizational safeguards designed to protect personal information against unauthorized access, use, disclosure, alteration, or destruction. These measures include password-protected systems, access controls, and internal limitations on access to authorized personnel who require the information for legitimate business purposes.​

 

However, no method of data transmission over the internet, electronic storage system, or third-party platform is fully secure. As a result, while we take reasonable steps to protect personal information, we cannot guarantee absolute security, and users provide information at their own risk.​9. Data Retention​We retain personal information for as long as reasonably necessary for the purposes described in this Privacy Policy, including to support ongoing recruiting relationships, maintain candidate and client records, facilitate future opportunities, comply with legal obligations, resolve disputes, enforce agreements, and protect our business interests.​Because recruiting often involves ongoing professional relationships and future matching opportunities, we may retain candidate and client information even if an immediate placement or engagement does not occur. At the same time, we will review and respond to reasonable requests to access, update, or delete personal information, subject to legal, contractual, operational, and record-retention needs. The questionnaire specifically notes that certain information may need to be retained for legitimate business purposes, including recruiting records, legal compliance, and ongoing professional relationships.​

 

10. Your Choices and Rights​Depending on your location and the nature of your relationship with Propel Recruitment, you may have certain rights or choices regarding your personal information.​You may request access to, correction of, updating of, or deletion of personal information you have previously provided to us. You may also request that we stop collecting additional information from you going forward by contacting us directly. According to the questionnaire, users may make such requests by email, phone call, or a response through LinkedIn, and Propel Recruitment will respond to reasonable requests consistent with applicable privacy laws and legitimate business retention needs.​Please note that even where deletion is requested, we may retain certain information as necessary to comply with law, preserve required records, complete ongoing engagements, protect legal rights, prevent fraud or misuse, or maintain appropriate business files.

 

​If you no longer wish to be contacted regarding roles or recruiting matters, you may let us know and we will take reasonable steps to honor your request, subject to the same limitations above.​

 

11. Cookies and Tracking Technologies​Based on the completed questionnaire, Propel Recruitment does not currently use cookies or similar technologies for analytics, advertising, ad tracking, ad performance measurement, or user preference tracking as described in the questionnaire, and does not use a third-party cookie management or developer service for those purposes. The questionnaire also states that Propel Recruitment does not collect personal information through website cookies or third-party analytics tools for recruiting purposes beyond standard website functionality.​If Propel Recruitment later implements cookies, analytics tools, or other tracking technologies beyond standard website functionality, this Privacy Policy may be updated accordingly.​

 

12. Mobile Communications and SMS Opt-In​​By providing your mobile phone number and opting in through our website forms or other communication channels, you consent to receive text messages from Propel Recruitment related to job opportunities, application updates, interview coordination, and other relevant recruiting communications.​Message frequency may vary. Message and data rates may apply.​

This includes text messaging originator opt-in data and consent; such information will not be shared with any third parties.​

 

13. Children’s Privacy​

 

Propel Recruitment’s website and services are not directed to children under the age of thirteen (13), and Propel Recruitment does not knowingly collect personal information from children under 13. If we learn that we have inadvertently collected personal information from a child under 13 without appropriate legal authorization, we will take reasonable steps to delete that information.

Propel Recruitment is based in the United States, and personal information may be stored and processed in the United States and in other jurisdictions where Propel Recruitment or its service providers operate.​The questionnaire indicates that Propel Recruitment may share limited candidate or recruiting-related information with an offshore recruiting support provider located in the Philippines, Sysgen Pro, which assists with sourcing and recruiting operations. According to the questionnaire, that relationship is governed by contractual confidentiality and non-disclosure obligations, and access is limited to information necessary to perform recruiting support functions on Propel Recruitment’s behalf.​If you are located outside the United States, please understand that your information may be transferred to, stored in, and processed in jurisdictions that may not provide the same level of data protection as your home jurisdiction. By interacting with Propel Recruitment, submitting information to us, or using our services, you acknowledge and, where required by law, consent to such transfers.​

 

15. California Privacy Disclosures​

 

Propel Recruitment conducts business in California and may collect personal information from individuals located in California as part of its recruiting and professional services activities. The questionnaire states that Propel Recruitment does not offer financial incentives, compensation, or other benefits in exchange for the collection, use, or sharing of personal information.​To the extent applicable under California privacy law, California residents may have rights to request access to certain personal information, request deletion of certain personal information, request correction of inaccurate personal information, and receive information regarding categories of personal information collected, sources of collection, purposes of use, and categories of third parties to whom information is disclosed. Because the questionnaire does not confirm whether statutory thresholds have been met for all other state privacy regimes, this Privacy Policy does not overstate the applicability of any particular state law beyond California. Instead, Propel Recruitment reserves the right to respond to verified privacy requests as required by applicable law.

By accessing or using the website, submitting information to us, communicating with us, applying for a position through us, engaging us in connection with recruiting or talent placement services, or otherwise interacting with our services, you agree to be bound by these Terms.

If you are using the services on behalf of a business, employer, or other entity, you represent and warrant that you have full authority to bind that entity to these Terms, and “you” and “your” will refer to both you individually and that entity.

 

1. Scope of Services

Our services generally include identifying, sourcing, screening, interviewing, evaluating, and introducing candidates for potential employment, consulting, temporary, project-based, or other professional opportunities with client organizations. Our services may also include communicating with candidates and clients, coordinating interviews, gathering and organizing recruiting-related information, and facilitating discussions regarding role requirements, candidate background, compensation expectations, and potential fit.

Propel Recruitment may provide services in connection with direct hire placements, contingent searches, consulting placements, temporary staffing arrangements, or similar recruiting engagements. The exact nature, scope, and structure of services may vary depending on the needs of the client, the role at issue, market conditions, the availability of candidates, and any separate written agreement governing a specific engagement.

Our website and related communications are intended to provide information about Propel Recruitment, allow prospective candidates and clients to contact us, and, where applicable, allow users to view job opportunities or submit inquiries relating to those opportunities. Propel Recruitment does not operate a consumer software platform requiring user account registration in order to access basic services. Rather, our services are largely relationship-based and are delivered through direct communications and professional recruiting activity.

2. Relationship to Separate Agreements

​

These Terms govern general access to and use of the website and general interactions with Propel Recruitment unless and until a separate written agreement applies.

If Propel Recruitment enters into a separate written recruiting agreement, placement agreement, staffing agreement, consulting agreement, master services agreement, fee agreement, or other contract with a client, that separate written agreement will control with respect to the subject matter covered by that agreement in the event of a conflict with these Terms.

Likewise, if Propel Recruitment presents a candidate subject to a specific fee agreement, replacement guarantee, refund arrangement, confidentiality arrangement, non-circumvention provision, or similar engagement-specific terms set forth in a writing, those specific terms will supplement and, where inconsistent, control over these Terms as to that relationship or transaction.

3. Eligibility

You may use the website and services only if you are able to form a binding contract under applicable law. By using the website or services, you represent and warrant that you are doing so lawfully and that your use will comply with all applicable laws, rules, and regulations.

The website and services are intended for adults and for legitimate professional and business purposes. The website and services are not directed to children under the age of thirteen (13), and Propel Recruitment does not knowingly solicit or collect personal information from children through the website.

4. No User Accounts; Internal Profiles

For candidates, such internal information may include contact information, resume or CV details, employment history, interview notes, work authorization information, compensation expectations, job preferences, or other professional information relevant to recruiting services. For clients, such internal information may include contact information, company information, hiring needs, role descriptions, interview feedback, and recruiting-related communications. Propel Recruitment may maintain such information in its internal systems and through authorized third-party service providers used to support recruiting operations.

The creation of such internal profiles or records does not create any ownership right, account right, employment right, or contractual guarantee in your favor.

5. Candidate Participation; No Fees to Candidates

​

Candidates are not charged a fee by Propel Recruitment for participating in the recruiting process, communicating with Propel Recruitment, being considered for opportunities, or being introduced to prospective employers through Propel Recruitment, unless expressly set forth in a separate signed writing.

A candidate’s communication with Propel Recruitment, submission of application materials, participation in interviews, or inclusion in Propel Recruitment’s systems does not guarantee that the candidate will be presented to a client, interviewed, hired, retained, engaged, or placed in any role. Propel Recruitment makes no promise or representation that any particular opportunity will be available, that any particular role will remain open, or that any candidate will receive an offer of employment or engagement.

6. Client Engagements; No Guaranteed Results

​

Propel Recruitment provides recruiting and placement services to hiring companies and other business clients. Unless expressly stated otherwise in a separate written agreement, Propel Recruitment does not guarantee hiring results, the availability of any particular candidate, the acceptance of any offer, the retention of any placed candidate, the speed of any search, or the success of any recruiting effort.

​

Recruiting outcomes depend on multiple factors outside Propel Recruitment’s control, including candidate interest and availability, client responsiveness, compensation levels, market conditions, competition for talent, role changes, business conditions, interview performance, and the independent decisions of candidates and employers. Accordingly, all services are provided on a commercially reasonable efforts basis unless a separate written agreement expressly states otherwise.

Any guarantee period, replacement arrangement, refund policy, prorated credit structure, contingent fee structure, flat fee structure, payment deadline, employer-of-record arrangement, or similar commercial term applicable to a client engagement will be governed by the specific client agreement applicable to that engagement.

7. Professional Conduct and Acceptable Use

​

All users of Propel Recruitment’s website and services, including candidates, clients, referral sources, and other contacts, are expected to conduct themselves in a professional, respectful, lawful, and good-faith manner.

​

Without limiting the foregoing, you agree that you will not:

​

  1. use the website or services for any unlawful, fraudulent, misleading, defamatory, abusive, harassing, discriminatory, or otherwise improper purpose;

  2. submit false, inaccurate, misleading, outdated, or deceptive information regarding your identity, credentials, work history, compensation, authority, role requirements, or hiring intentions;

  3. interfere with, disrupt, or attempt to gain unauthorized access to Propel Recruitment’s systems, website functionality, records, communications, or third-party platforms used in connection with the services;

  4. copy, scrape, mine, harvest, extract, reproduce, republish, or use content, job information, candidate information, contact details, or other materials from the website or services for unauthorized commercial purposes;

  5. use the website or services to spam, solicit, recruit, divert, exploit, or commercially target candidates, clients, or contacts introduced through Propel Recruitment except as expressly authorized in writing;

  6. impersonate any person or entity, misrepresent your affiliation or authority, or submit information on behalf of another person without authorization; or

  7. engage in conduct that, in Propel Recruitment’s judgment, undermines the integrity, professionalism, legality, or effectiveness of the recruiting process.

Propel Recruitment reserves the right, in its sole discretion, to limit communications, remove content, decline to work with any person or organization, discontinue services, or take other protective action if it believes conduct is inappropriate, unlawful, misleading, abusive, discriminatory, threatening, or otherwise inconsistent with professional recruiting practices.

8. Accuracy of Information

You are solely responsible for the accuracy, completeness, and legality of information you provide to Propel Recruitment, whether through the website, contact forms, email, text, LinkedIn, phone, referrals, interviews, third-party application platforms, or otherwise.

Candidates are responsible for ensuring that resumes, biographies, credentials, licenses, employment dates, educational history, compensation information, work authorization information, references, and other materials provided to Propel Recruitment are truthful and current. Clients are responsible for ensuring that role descriptions, compensation ranges, hiring requirements, interview feedback, authority to hire, and other information provided to Propel Recruitment are accurate and lawful.

Propel Recruitment may rely on information provided by users and third parties without undertaking an independent duty to verify all such information, unless otherwise agreed in writing. Propel Recruitment shall not be liable for losses arising out of inaccurate, incomplete, or misleading information supplied by users, candidates, clients, or third parties.

9. Job Listings and Opportunities

​

Job opportunities displayed on Propel Recruitment’s website or communicated through its recruiters are provided for informational and recruiting purposes only. A listing or discussion of an opportunity does not constitute an offer of employment, a promise of engagement, a guarantee that a position remains open, or a representation that a candidate is qualified for or entitled to consideration for the position.

Propel Recruitment reserves the right to add, remove, revise, suspend, or discontinue any role, listing, search, or opportunity at any time without notice. Clients may modify, pause, or withdraw positions at any stage of the recruiting process. Candidate consideration may also depend on additional factors that arise after initial contact, including interview outcomes, reference checks, work authorization considerations, compensation alignment, and client preferences.

10. No Employment Relationship; No Career Advice Guarantee

​

Nothing in these Terms or in Propel Recruitment’s website or services creates an employment relationship, joint venture, partnership, agency, fiduciary relationship, or exclusive representation arrangement between Propel Recruitment and any user unless expressly set forth in a separate written agreement.

11. Communications Consent

Where candidate information is shared with prospective employers, or client role information is shared with candidates, such sharing is undertaken in furtherance of recruiting services. 19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROPEL RECRUITMENT’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE, SERVICES, OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00) WITH RESPECT TO ANY USER WHO HAS NOT PAID PROPEL RECRUITMENT FEES UNDER A SEPARATE WRITTEN AGREEMENT, OR, IF APPLICABLE, THE AMOUNT OF FEES ACTUALLY PAID DIRECTLY TO PROPEL RECRUITMENT BY THE CLAIMANT UNDER THE SEPARATE WRITTEN AGREEMENT GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

20. Indemnification

You agree to defend, indemnify, and hold harmless Propel Recruitment and its members, managers, officers, employees, recruiters, contractors, affiliates, agents, successors, and assigns from and against any and all claims, demands, actions, proceedings, investigations, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees and costs, arising out of or relating to: (a) your use of the website or services; (b) your breach of these Terms; (c) information or materials you submit or provide; (d) your violation of any law, regulation, or third-party right; or (e) your conduct in connection with candidates, clients, interviews, recruiting activity, or third-party platforms.

Propel Recruitment reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate fully in the defense of such matter.

21. Suspension and Termination

​

Because Propel Recruitment’s services are relationship-based and generally do not require user account registration, suspension or termination typically means that Propel Recruitment may cease communications, decline to provide services, remove or disregard submitted information, discontinue a search relationship, block access to the website or contact channels, or otherwise end the professional relationship.

​

Propel Recruitment may take such action at any time, with or without prior notice, if Propel Recruitment determines, in its sole discretion, that a user has violated these Terms, engaged in unlawful or improper conduct, provided false or misleading information, created risk or liability for Propel Recruitment or others, or otherwise acted inconsistently with professional recruiting standards.

Sections of these Terms that by their nature should survive termination, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law, shall survive any termination or discontinuation of the relationship.

22. Governing Law

​

These Terms and any dispute, claim, or controversy arising out of or relating to the website, services, or these Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of laws principles.

23. Dispute Resolution; Venue

​

To the extent a dispute is not subject to a separate written agreement containing a dispute resolution procedure, you agree that any dispute, claim, or controversy arising out of or relating to these Terms, the website, or Propel Recruitment’s general services shall first be submitted to good-faith informal discussions in an effort to resolve the matter.

If the matter is not resolved informally, Propel Recruitment may elect, in its discretion, to require that the dispute be resolved through binding arbitration in San Mateo County, California, administered by JAMS under its applicable rules, or pursue resolution in a court of competent jurisdiction located in San Mateo County, California. If Propel Recruitment does not elect arbitration, then the state and federal courts located in or serving San Mateo County, California shall have exclusive jurisdiction, and each party irrevocably submits to the personal jurisdiction and venue of those courts.

To the fullest extent permitted by law, each party waives any objection to venue or forum non conveniens with respect to such arbitration or courts.

24. No Class Actions

​

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANY DISPUTE SHALL BE BROUGHT SOLELY ON AN INDIVIDUAL BASIS, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION. NO ARBITRATOR OR COURT SHALL HAVE AUTHORITY TO CONSOLIDATE CLAIMS OR HEAR ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING EXCEPT TO THE EXTENT SUCH WAIVER IS PROHIBITED BY LAW.

25. No Class Actions

​

To the maximum extent permitted by law, any dispute shall be brought solely on an individual basis, and not as a plaintiff or class member in any purported class, collective, representative, or private attorney general action. No arbitrator or court shall have authority to consolidate claims or hear any class, collective, or representative proceeding except to the extent such waiver is prohibited by law.

26. Changes to These Terms

Propel Recruitment may revise or update these Terms from time to time in its discretion. Updated Terms may be posted to the website, provided by email, or otherwise communicated in writing. Unless otherwise stated, revised Terms will become effective upon posting or upon the date indicated in the updated Terms.

Your continued use of the website or services after the effective date of revised Terms constitutes your acceptance of those revised Terms. If you do not agree to the revised Terms, you must discontinue use of the website and services.

 

27. Entire Agreement

These Terms, together with any applicable Privacy Policy and any separate written agreement between you and Propel Recruitment, constitute the entire agreement between you and Propel Recruitment with respect to the subject matter addressed herein and supersede all prior or contemporaneous understandings, communications, and proposals relating to that subject matter, except as expressly set forth in a separate signed writing.

28. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

 

29. Waiver

No waiver by Propel Recruitment of any breach or default shall be deemed a waiver of any preceding or subsequent breach or default. Any waiver must be in writing and signed by an authorized representative of Propel Recruitment to be effective.

 

30. Assignment

You may not assign, transfer, delegate, or sublicense any rights or obligations under these Terms without Propel Recruitment’s prior written consent. Propel Recruitment may assign these Terms and any of its rights or obligations hereunder without restriction in connection with a business transfer, reorganization, merger, acquisition, sale of assets, or by operation of law.

 

31. Electronic Communications and Signatures

You agree that electronic communications, emails, website postings, and similar electronic records may satisfy any legal requirement that a communication be in writing. To the extent applicable, electronically accepted terms, email confirmations, and electronic signatures shall be deemed binding to the same extent as original signatures, subject to applicable law.
